Building Maintenance Services, Inc. ("BMS" or the "Company") is an industry leading Southeast-based provider of commercial cleaning and facilities maintenance services, including janitorial cleaning, floor maintenance, window cleaning, pressure washing, interior painting, and related facility support solutions. Founded in 1989 and based in Kennesaw, Georgia, with additional operations in Central Florida, BMS serves commercial, municipal/government, education, healthcare, and industrial customers. The Company has built a strong reputation for delivering high-quality service, operational reliability, and customized maintenance programs tailored to the unique needs of its clients.
After 35+ years of building and leading BMS, founder Brian Marcus began evaluating long-term succession and liquidity options for the business. Having dedicated most of his professional career to growing the Company into a leading facilities maintenance provider in the Georgia and Florida markets, Brian was seeking a path toward retirement while ensuring the continued success of the business, its employees, and its customers. At the same time, BMS was well-positioned for future growth, supported by an experienced management team, long-standing customer relationships, diverse end markets, and a broad portfolio of service offerings.
The Company had been approached by a private equity-owned industry buyer more than a year earlier and ultimately signed a Letter of Intent with this buyer. Initially, Brian elected to pursue the transaction without the assistance of an investment banker; however, as the process progressed, the complexities of diligence, negotiations, and transaction execution became increasingly challenging. The proposed transaction ultimately failed to close, prompting the Company to reassess its approach to a sale.
Following the terminated transaction, BMS was introduced to BCA by the Company's M&A attorney. Recognizing the importance of experienced transaction guidance, Brian engaged BCA as the Company's exclusive financial advisor to evaluate strategic alternatives and execute a professional sale process designed to help him achieve his retirement and financial objectives while identifying a partner capable of supporting the Company's long-term success. Once engaged, BCA led a detailed planning and sale process. The engagement involved collaborating with independent external professional partners to assist the Company in preparing for a sale.
From enhanced financial reporting to classification and review of the Company's customer contracts, BCA worked closely with BMS to prepare for future buyer documentation requests and diligence. The BCA deal team researched, planned, and prepared for a sale process tailored to industry buyers and private equity groups with existing platforms in janitorial and facility related services. After generating strong market interest and multiple competitive initial proposals, BCA worked closely with the Company's leadership team to prepare and support the Company through management presentations with a select group of buyers, culminating in a final bidding process. BCA assisted Brian in evaluating each option, conducted negotiations with interested parties, and ensured alignment with Brian's personal goals and objectives as well as with the Company's employees, customers, and long-term strategy.
BMS was acquired by Scopes Facility Services, Inc., a leading provider of interior and exterior facility services to multi-site, retail, and corporate clients nationwide, and a portfolio company of Westbridge Capital Ltd. Joining Scopes provided BMS with expanded resources, access to new end-markets, and a stronger foundation for long-term growth. BCA demonstrated the value of a competitive sale process and achieved a sale transaction for Brian at a valuation almost double the original strategic offer. Furthermore, after completing a short-term post-closing consulting role for Scopes, Brian retired from BMS.
