TPI Engineered Systems, Inc. and TPI Fabrication, Inc. (collectively, “TPI” or the “Company”) is a leader in the design, engineering, manufacturing, assembly, and installation of custom bulk material handling systems. Headquartered in Bowdon, Georgia, TPI’s products include belt, screw, bucket, drag and apron conveyors, slide gates, rail cars and transloading systems. System sizes range from a single screw conveyor or belt conveyor to a complete turnkey processing system. Industries served include aggregate materials and cement manufacturing, chemical manufacturing, power generation, paper and wood products manufacturing and metals and mining.

Situation

TPI was founded in 2006 and owned by Robert Berry, President and CEO, who led the Company through a period of growth during his ownership. The Owner wanted to retire and had pursued a potential sale of the Company to the management team. An internal sale proved challenging to complete at the Owner’s desired price. Fortunately, TPI was approached by a key customer who wanted to bring its capabilities in-house.

Advisory Role

BCA was engaged by TPI to serve as its exclusive financial advisor, guiding the company and its owner through a change of control transaction that met the needs of both the owner and management.
