BCA provides guidance and execution services to private business owners and management teams regarding the exclusive sale or divestiture of their business. While we work with many clients wanting to transact on a short term basis, our preference is to build relationships many years in advance of transactions to help prepare the business for the event to ultimately achieve the maximum valuation for an owner.

We take an aggressive approach to finding appropriate, motivated buyers that fit with each seller’s desired outcome.  We can also guide clients through the process of managing internal exit transactions such as with an Employee Stock Ownership Plan (ESOP) or through a Management Buyout (MBO).

All sell-side transactions may have a similar process, however, each sale is unique. BCA limits its number of active clients to ensure that each engagements receives a maximum level of senior attention. We focus on building a comprehensive process that maximizes economic and strategic value while allowing our clients to maintain focus on their business.

BCA’s process for executing a successful exit strategy includes the following key stages:

Planning

  • Understand the client’s goals and objectives
  • Gather company information and perform mini due diligence
  • Perform company and industry research
  • Establish a target valuation range, recast company financials
    and vet company forecast

  • Prepare a confidential marketing plan including a unique
    buyer list that has been thoroughly researched and vetted
  • Prepare a detailed business information memorandum and
    other marketing collateral

Telling the Story

  • Contact each prospect and provide “pitch” or transaction rationale
  • Execute NDA with prospects

  • Present the business memorandum and educate prospect buyers
  • Screen potential buyers and move prioritized groups forward

Deal Making

  • Develop management presentations
  • Push key buyers through time line to a bid deadline

  • Evaluate buyer offers
  • Negotiate purchase price, deal structure and key terms

Closing

  • Lead and administer the due diligence process
  • Assist with the financial and legal matters
